an investor’s liability is limited to the value of the shares they have subscribed for.

What is a D-number (D-nummer)
A D-number is an identification number for people who do not have a Norwegian national identity number (fødselsnummer). It is usually required to hold a role in a Norwegian company, for example as a board member or CEO. The D-number application is submitted together with the appointment to that role.

Processing time: for foreign nationals, getting a D-number usually takes 4–8 weeks.

2. Leave your contact details and pay for the service.
3. Fill in a short form about the planned business activity, management and owners.

When you buy a shelf company (AS), there are three costs to keep in mind:

– Price of the shelf company: NOK 9,900

– Share capital: NOK 30,000.
This is a mandatory requirement. The money does not “disappear” - it stays in the company’s account and is used in its business. You need to deposit this amount into your company’s account as soon as possible after the transfer.

– Brønnøysundregistrene registration fee: NOK 6,500.
This amount can be paid from the share capital.

– Name change (optional): an additional NOK 1,354 state fee.
Yes. When you buy a shelf company (AS), you take on the obligation to reimburse the share capital that was paid in - NOK 30,000.

After signing the purchase agreement, you need to open a bank account and transfer this amount. The money stays in the company’s account and can be used in its business.

We recommend depositing the share capital as soon as possible so the company can start operating fully.
The shelf company is already registered in Norway, and registering a limited company always involves a state fee of NOK 6,500. This amount has either already been paid by 1Bedrift.no, or your company will be invoiced directly by Brønnøysundregistrene. Either way, a limited company cannot be registered without paying this fee - it is a mandatory requirement.
Unfortunately not. All shelf companies are sold without a bank account. After the purchase, you will need to open an account yourself at any Norwegian bank. You are also welcome to contact us for advice and recommendations.
Yes. This is common practice in Norway - a shareholder can run their own company and hold both roles.
Yes. When you apply through the 1Bedrift.no online service, enter the details of your company - all documents will then be drawn up with your company as the buyer.
Yes. You can buy a company and become its shareholder (owner). However, without a Norwegian personal number you cannot serve as CEO or chair of the board.

If you have difficulties getting a D-number (D-nummer), just email us at info@norus-regnskap.no and describe your situation. We will tell you which documents are needed and help with the next steps of registering your company in Norway.
